About Thomas

How do you help businesses?

I help Grand Rapids area businesses and individuals achieve their goals and protect their wealth. I regularly counsel both new entrepreneurs and existing business owners on a variety of matters, including: helping with the formation of their business in a way that is tax friendly but minimizes personal risk liability, advising on operational and employment issues that arise, and providing counsel regarding real estate acquisitions and leases, liquor licensing, franchise agreements, contracts, and business succession planning.

I also advise clients on acquisitions and sales of businesses (i.e., mergers and acquisitions or M&A). Frequently, this process includes many of the following steps: drafting of confidentiality agreements, negotiation of letters of intent, structuring the Stock Purchase Agreement or Asset Purchase Agreement, assistance with due diligence, overseeing closing, and counseling regarding any post-closing matters.

How do you help individuals?

As an estate planning attorney, I help individuals preserve and transfer their wealth to the next generation. These goals are frequently met through a combination of a Will, Trust, Durable Power of Attorney, and Patient Advocate Designation. I also regularly assist with estate tax planning including gift programs and Irrevocable Life Insurance Trusts. Clients frequently tell me that estate planning was easier than they expected and that it has provided them with peace of mind to know that that their goals will be carried out by the fiduciaries they’ve chosen.
