About Tony

What types of legal issues do you help individuals and businesses resolve?

I help closely-held businesses navigate the various laws that make up the challenging legal landscape (like the Internal Revenue Code, Michigan’s Limited Liability Company Act, and Uniform Commercial Code) to deal with the issues arising throughout the life cycle of the business. My day may vary from advising on how to structure a limited liability company, counsel on a Shareholder Stock Purchase Agreements, enforcing a service agreement or creating a strategy for succession planning or selling a business.

What skills help you advise the client and achieve the best results or outcomes?

I evaluate each issue as not only a business issue but work to understand the underlying relationship issues. All businesses are relationship driven, whether; the relationships are among owners of a startup, a business, a bank or a buyer and a seller. With a key understanding of all the issues, I can work with you to identify and negotiate the critical matters, clearly document your understanding, and enforce the agreements you forged.

What has been the most difficult news you have had to deliver to a client?

Several years ago I met a client with a difficult health situation that necessitated leaving his business. He had signed a contract to sell out to his co-owner without having taken the time to consult with an attorney to make sure he fully understood the impact of the agreement he signed. By the time he came to me, his co-owner was unwilling to negotiate changes to the agreement though I’m convinced, had we talked before he signed the agreement we could have addressed these concerns.

A:

Progress. Not every day can be perfect, but making progress makes for a great day.
