How do you help businesses and individuals?
I help businesses and individuals by finding practical solutions to their legal issues. Business owners, managers, and commercial teams want solutions that help them meet their goals – get a deal done, drive results, grow the business. I regularly advise clients in the following practice areas:
Mergers and Acquisitions: Helping both buyers and sellers in negotiating and closing asset sales, stock or membership interest sales, company mergers and company conversions, as well as in transitioning businesses from owners to next generation family members or key employees.
Hospitality and Liquor Law: Counseling hospitality industry clients on transferring or obtaining liquor licenses and permits, drafting and reviewing vendor contracts and agreements, and the acquisition of other establishments.
Private Placement Securities Transactions: Assisting issuers engaging in securities offerings that are exempt from registration in preparing offering documents and ensuring state and SEC regulatory compliance.
Business and Commercial Aviation Transactions: Working with buyers and sellers in negotiating and closing commercial and business aircraft purchases, sales, and leases.
General Corporate: Assisting companies with entity formation, preparing or updating governance documents such as operating agreements or bylaws, and drafting contracts and other legal documents.
What sets you apart from other lawyers in your practice field?
Before joining Rhoades McKee, I was in-house counsel for a small business in West Michigan that purchased and sold aircraft, aircraft engines, and aircraft components. A large part of my job was not only to help the business achieve its commercial goals – while advising and counseling the commercial and management teams on the possible risks and how to avoid or mitigate them – but also to help the management team navigate through issues that occur every day when running a business. Working with these teams and leaders daily, and on issues that spanned many different sides of the business, I gained a lot of front-line experience. I bring this perspective to my work in helping our business clients. I’ve seen firsthand the time, effort, and energy employees, executives, and business owners bring to growing their businesses.
What has been the most exciting news you have had to deliver to a client?
“We closed the deal!” Closing day is always exciting, but getting the chance to tell the commercial folks that the deal they’ve spent so much time and effort on has successfully closed makes it even sweeter.
